Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Xutra (the “Platform”), operated by Arkalogi Tech Pvt Ltd(“Arkalogi”, “we”, “us”, or “our”). By registering for or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Xutra is a technology platform that lets you connect multiple broker accounts (such as Zerodha, Upstox, Groww, and XTS-based brokers) to a single dashboard, place and manage orders, build and backtest algorithmic trading strategies, and view options analytics including live Greeks. Xutra is not a stockbroker, investment adviser, depository participant, or custodian. All trades are executed by, and all funds and securities remain held with, your respective SEBI-registered broker(s).

You must be at least 18 years old and legally capable of entering into a binding contract to use the Platform. You must hold valid, active trading and demat accounts with the broker(s) you wish to connect, and you are responsible for complying with all terms and conditions imposed by those brokers.

You agree to provide accurate and complete information when creating an account and to keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

By connecting a broker account, you authorize Xutra to access your account data (orders, positions, holdings, funds) and to transmit instructions to your broker via its official API, strictly as directed by you through the Platform. You may revoke this authorization at any time by disconnecting the broker account. Xutra relies on broker-provided APIs and is not responsible for outages, errors, delays, or data inaccuracies originating from a broker or exchange.

Trading in securities, derivatives, and other financial instruments involves substantial risk of loss and is not suitable for everyone. You acknowledge that:

• past performance, including backtested results, is not indicative of future results;
• algorithmic strategies can behave unexpectedly in live markets due to latency, slippage, liquidity, or connectivity issues;
• you are solely responsible for evaluating the strategies you build or deploy, and for all trading decisions and their outcomes; and
• Xutra does not provide investment advice or recommendations, and nothing on the Platform should be construed as such.

Backtesting and simulation tools are provided for research and educational purposes using historical data, which may contain gaps, errors, or survivorship bias. Live results may differ materially from backtested or simulated results. You are responsible for testing and validating any strategy before deploying it with real capital.

You agree not to:

• use the Platform for any unlawful purpose, including market manipulation, fraud, or circumventing exchange or broker rules;
• attempt to gain unauthorized access to the Platform, other accounts, or connected broker systems;
• reverse-engineer, scrape, or resell access to the Platform without our written consent; or
• upload malicious code or interfere with the Platform’s operation.

We may suspend or terminate accounts that violate these Terms.

Certain features of the Platform may be offered on a paid subscription basis, as described at the time of purchase. Fees are exclusive of applicable taxes unless stated otherwise, and, except where required by law, are non-refundable.

The Platform, including its software, design, and content, is owned by Arkalogi Tech Pvt Ltd and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform for your personal trading activity. You retain ownership of the strategies and configurations you create.

To the maximum extent permitted by law, Arkalogi and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, or consequential damages, including trading losses, lost profits, or data loss, arising from your use of the Platform, even if advised of the possibility of such damages. The Platform is provided “as is” and “as available,” without warranties of any kind.

You agree to indemnify and hold Arkalogi harmless from any claims, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party right.

Your relationship with any broker you connect is governed by that broker’s own terms and policies. Xutrais not responsible for a broker’s acts, omissions, insolvency, or regulatory actions, and connecting a broker through Xutra does not make Xutra a party to your broker agreement.

We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, us, or third parties. You may stop using the Platform and disconnect your broker accounts at any time.

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts at Surat, Gujarat.

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. We will update the “Last updated” date when changes are made.
